Seller agreement

This is the agreement between you and Payxem when you open a store on payxem.shop. It is written to be read, not filed. If a rule here would surprise you later, we have failed at writing it.
The short version
- You own your work. You keep selling it anywhere else you like.
- One commission of 9 percent plus 35 cents, all in. We pay the card processor out of our share.
- List only what you made or hold the rights to sell. Every file is fingerprinted and every listing is read by a person before it goes live.
- The marketplace refund standard applies to your listings. You cannot publish a no refunds rule of your own.
- You cannot buy, trade or incentivise reviews. Not once.
- If you close your store, buyers keep what they already bought.
Current status
Seller stores are not open to applications yet. They open alongside checkout. This agreement is published now so that anyone thinking about selling here can read the terms before deciding, rather than meeting them at the end of a signup form.
Who can sell
You can open a store from anywhere we can pay you. To sell you need a Payxem account in your own name or your business name, you must be at least 18, and you may need to complete identity verification before your first payout, under the Payxem terms of service.
One person or business, one store. Opening a second store to get around a suspension, a rating or a verification requirement ends both.
Your role and ours
You are the seller of record. The product is yours, the price is yours, and the responsibility for what is inside the file is yours.
We are the venue and the payment layer. We provide the shopfront, take the payment, deliver the file, hold the record of the sale and enforce the rules on this site. We do not own, author or resell your work, and we never claim to.
Nothing here makes us your employer, your partner or your agent, and selling here is not exclusive. Sell the same product on your own site or another marketplace if you want to.
Your store and its name
- Your store name is what buyers see. Your personal account details are never shown on a public page.
- Your store keeps the same address for as long as it exists, so a link you share today still works later.
- Your store name cannot impersonate another person, business or brand, cannot use a trademark you do not hold, and cannot imply that Payxem endorses or operates it.
- Names that mimic Payxem, a payment brand, a bank, a government body or a regulator are reserved and will be refused.
- We may rename or unpublish a store that breaks these rules.
What you can list
Digital files only. Nothing physical, nothing to ship, nothing that needs a courier.
The marketplace is built for the practical and the specific: spreadsheets and calculators, business and finance templates, guides for setting up, moving, applying or filing, planners and trackers, design and social media packs, CV and career kits, study material, and regional guides written with real local detail.
You may list a product only if you created it, or you hold a licence that allows you to sell it. If your product includes fonts, images, icons, code or data from someone else, you are responsible for holding a licence that permits commercial redistribution in the way you are using it.
What you cannot list
A listing in any of these categories is refused, and repeated attempts close the store.
- Anyone else's work resold without the right to do so. This includes files bought elsewhere and relisted, and free files repackaged as your own.
- Files containing malware, spyware, cracks, keygens, pirated software or activation bypasses.
- Fake or forgeable documents. Templates for identity documents, bank statements, payslips, invoices intended to deceive, certificates, diplomas, visas, licences or official government paperwork.
- Exam papers, answer keys or anything sold to cheat an assessment.
- Personal data. Scraped contact lists, leaked databases, email lists or anything containing other people's information.
- Adult or sexual content, and any content involving minors.
- Hate content, harassment, or material that promotes violence or discrimination against a group.
- Products promising guaranteed financial returns, trading signals presented as certainties, or any get rich scheme.
- Anything illegal where you are, where the buyer is, or under the rules of our payment providers.
- Products that are functionally empty. A one page file sold as a course, a link to a free resource, a file whose only content is a promise of something to come.
- Bulk generated filler listed at volume with no real work behind it.
- Listings whose main purpose is to move the buyer somewhere else to pay, to subscribe or to hand over contact details.
We also decline products that are legal but wrong for this marketplace, and we will tell you which it was.
Files and the duplicate check
- Each product file is currently limited to 25 MB. Larger products need to be split, or wait for the larger upload path we are building.
- Every uploaded file is fingerprinted. A file already being sold by a different seller is refused at upload. Your work cannot be quietly relisted by someone else, and you cannot relist theirs.
- Paid files are held in private storage and released only against a real purchase. They are never sitting on a public link.
- Cover images and gallery images are public by design. Do not put anything in them you would not want indexed.
- Keep your own master copy. We are not a backup service.
Updating a file
You can update a product file. An update should be the same product improved, not a different product swapped in behind the same listing. Anyone who has already bought it keeps access, and we may tell past buyers that a meaningful update is available.
Describing a product honestly
A buyer cannot pick up a digital file and turn it over, so the listing is the whole of what they get to inspect. It has to be true.
- Say what is inside. Page count, number of templates, the sheets in the workbook, the formats included.
- Name the software needed. If it needs Excel, say Excel. If the fonts are not included, say so.
- Show the real product in your images. Not a mockup of a product you have not made.
- Do not claim official status, accreditation or endorsement you do not have, and do not imply a government body, a bank or Payxem stands behind your product.
- If your product is guidance rather than professional advice, say so on the listing.
- Do not use another brand's name to catch searches for it.
A listing that materially misdescribes what the buyer receives is the main reason a refund gets approved against you.
Review before publishing
Every listing is read by a person before it appears. Nothing goes live automatically. That is slower for you, and it is the reason the catalogue is worth browsing.
We can approve, ask for changes, or reject a listing. We can unpublish or suspend a published one where it breaks these rules, is the subject of a rights claim, or is generating a pattern of refunds. Where we reject or unpublish something, we tell you why.
A review is a check, not a guarantee. It does not transfer responsibility for your product to us.
Pricing
- You set your price, in US dollars. Your seller dashboard shows the price range available to your store, and prices outside it can be requested through support.
- Buyers pay the price on the listing and nothing else. No buyer fee is added at checkout, so the number you set is the number they see.
- A listing may show a reference price with a line through it beside the current price. That reference is your own full price for the product, shown for comparison. It must be a price you genuinely sell at or have sold at, not a number invented to manufacture a discount. We remove a reference price that is not real.
- You can change your price whenever you like. It applies to future sales only, never retrospectively.
Commission and what you keep
One commission of 9 percent plus 35 cents per sale, all in. That is the entire fee.
We pay the card processor out of our own share instead of passing it to you, which is unusual and deliberate. There is no listing fee, no monthly fee, no payment processing fee and no withdrawal fee from us.
The commission on each sale is recorded as a snapshot at the moment of the sale. If we ever change the rate, the change applies to future sales only. A past sale is never recalculated.
Payouts
- Your earnings land in your Payxem wallet, on the same rails that already move money for freelancers across these regions.
- Payments are subject to Payxem's security clearance period, typically 7 to 28 days depending on your account history, region and dispute record, before they become available to withdraw.
- Withdrawals, verification requirements, minimums and holds are all covered by the Payxem terms of service, and this agreement does not change them.
- Balances shown in Payxem are ledger records. Funds are held and settled by our payment partners.
Refunds
The returns and refunds policy applies to every listing on the marketplace. You cannot publish a stricter rule of your own, and you cannot mark a product as non refundable.
We think that is the right call rather than a burden. One clear standard is what lets a buyer take a chance on a store they have never heard of, which is the whole problem a new seller has.
How a refund affects you
- We consult you where there is time and the case is not obvious. On a clear case, a corrupt file or a failed delivery, we refund first and tell you.
- A refunded sale is reversed from your balance, and our commission on it is reversed too. We do not keep a share of a sale that did not stand.
- If the amount has already been paid out, it is recovered from your future earnings.
- The buyer's licence ends and their download access is revoked.
- You can ask us to look at a decision again, once, with your reasons.
A pattern of refunds against one product usually means the listing is overpromising. We will tell you what buyers are actually saying before we suspend anything.
Chargebacks and dispute limits
A chargeback is a buyer disputing the payment with their bank rather than with us. We defend these using the order and download record, which is exactly why that record is kept.
Consistent with the Payxem terms of service, a store whose dispute, chargeback or refund ratio goes above 3 percent of paid transactions is suspended for review, and above 10 percent in a rolling 60 day period can be permanently restricted. Where a dispute is lost, the amount and any fee charged by the payment provider are recovered from your balance or your future earnings.
Reviews on your products
Ratings on this site have to mean something, so the rules here are strict and they are not negotiable.
- Only a buyer with a completed purchase can leave a review. There is no other route in.
- You cannot buy, trade, incentivise or ask for a positive review in exchange for anything, including a discount, a free file or a refund.
- You cannot review your own products, and you cannot use another account to do it.
- You cannot pay us, or anyone, to remove or change a rating. We do not offer that at any price.
- You may report a review that breaks the rules on the terms of use, and we will look at it. Disliking a review is not grounds for removal.
- A product with no reviews shows no stars. We do not seed, estimate or invent ratings to make a new store look established.
Manipulating reviews is one of the few things here that closes a store on the first offence.
Answering buyers
Reply to buyer questions about your products within 2 business days. If you are going to be away, say so on your store.
Delivery problems, expired links and refunds come to us, not to you, so you are not on the hook for the plumbing. What is yours is the product itself: what is inside it, whether it works, and what it claims to do.
What you get about a buyer
For each sale you see the buyer's name, the order reference, what they bought, the amount, your earnings and the date. That is the whole list.
You do not get their email address in full. Where it is shown it is masked, in the shape ab*****x@g***.com, which is enough to match a support message to an order and not enough to contact them directly. You do not get their IP address, their payment details, their other purchases or any contact number. Buyer support runs through us, and this is why.
Do not use buyer contact for marketing, do not add buyers to a mailing list because they bought from you, and do not try to move a buyer off the marketplace to pay you directly.
Rights you keep and rights you give us
You keep full ownership of your work. Nothing here transfers your copyright, and nothing here stops you selling the same product anywhere else.
You give us a non exclusive, worldwide, royalty free licence to host your files and listing content, to display them on payxem.shop, to deliver the file to buyers who pay for it, and to use your listing title, description, images and store name to promote the marketplace and your products. That licence exists only to run the marketplace. It ends when you remove your listing, except that we keep serving files to people who have already bought them, and we keep the sale record we are required to keep.
You grant each buyer the licence set out in the terms of use, unless your listing states a wider one of its own. You may offer a broader licence, for example a commercial or extended licence, by saying so clearly on the listing. You cannot offer a narrower one that contradicts what a buyer is told at checkout.
Copyright claims against you
If someone claims one of your products infringes their rights, we may unpublish it while we look. We tell you what was claimed and give you a chance to respond, and we reinstate the listing if your response settles it.
You agree to cover us for a claim brought against us because of something you listed. Sellers who infringe repeatedly lose their store permanently.
Suspension and closing your store
We may suspend a listing or a store where this agreement is broken, where fraud or review manipulation is suspected, where a rights claim is outstanding, or where a payment provider or the law requires it. Where it is reasonable, we tell you why and what would fix it.
You can close your store at any time and unpublish your listings at any time.
Buyers keep what they bought. Whether you close your store or we suspend it, everyone who already paid keeps access to their file. Pay once and keep it is the promise we made to buyers, and a store ending does not undo it. Earnings already cleared remain yours and are paid out in the normal way.
Tax
You are responsible for your own taxes on what you earn here, and for any registration or filing that applies where you live. We report and withhold only where we are required to. If tax has to be collected on a sale, it is shown to the buyer before they confirm.
Changes
We may update this agreement. The date at the top always shows the current version. Where a change materially affects how you sell or what you are paid, we will tell active sellers rather than rely on you noticing the date. Continuing to sell after a change means you accept it.
